Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the FreePNL platform at freepnl.com (the “Service”), operated by FreePNL (“we,” “our,” or “us”).

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the business entity you represent.

2. Service Description

FreePNL is a software-as-a-service platform that:

  • Accepts uploaded transaction data via CSV, TSV, or other supported file formats (available on all plans)
  • Connects to your ecommerce store (e.g., Shopify, Amazon, Stripe, QuickBooks) via the Rutter API to retrieve transaction data (Premium plan only)
  • Uses AI (Anthropic’s Claude) to automatically categorize transactions into accounting categories
  • Generates profit and loss (P&L) statements based on your transaction data
  • Allows you to export P&L statements as PDF documents

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete information when creating your account
  • Notify us immediately of any unauthorized use of your account
  • Not share your account credentials with third parties

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than 12 months.

4. Subscription and Payment

4.1 Plans

FreePNL offers a free tier and a paid Premium subscription. The free tier includes upload-based transaction processing, AI categorization, limited P&L generations per week, and watermarked PDF exports. Premium includes everything in the free tier plus live store connections (Shopify, Amazon, Stripe, QuickBooks), automatic transaction syncing, unlimited P&L generations, full report history, and watermark-free exports.

4.2 Billing

Premium subscriptions are billed monthly at the rate displayed at the time of purchase (currently $39/month). All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.3 Cancellation

You may cancel your Premium subscription at any time through the billing page or Stripe customer portal. Cancellation takes effect at the end of your current billing period. You will continue to have access to Premium features until the end of the paid period.

4.4 Refunds

Subscription fees are non-refundable. If you cancel mid-cycle, you will not receive a prorated refund for the remaining days. If you believe you were charged in error, contact us at support@freepnl.com within 14 days of the charge.

4.5 Price Changes

We may change subscription pricing with at least 30 days’ notice. Price changes take effect at the start of your next billing cycle after the notice period.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools (bots, scrapers) to access the Service without our written permission
  • Transmit malware, viruses, or other harmful code
  • Use the Service to build a competing product or service
  • Interfere with or disrupt the Service or its infrastructure
  • Resell, sublicense, or redistribute the Service without our written consent

6. Intellectual Property

6.1 Our Property

The Service, including its design, code, features, and documentation, is owned by FreePNL and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

6.2 Your Data

You retain full ownership of your ecommerce data, transaction records, and any P&L statements generated through the Service. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service to you.

6.3 AI-Generated Categorizations

Transaction categorizations generated by AI are provided as part of the Service. You may use, modify, and export these categorizations freely as part of your P&L statements.

7. Third-Party Services

The Service integrates with and relies on third-party services including Shopify, Rutter, Stripe, Anthropic, Supabase, and Vercel. We are not responsible for the availability, accuracy, or performance of these third-party services. Your use of these services is subject to their respective terms of service and privacy policies.

Changes to third-party services may affect the functionality of FreePNL. We will make reasonable efforts to adapt to such changes but cannot guarantee uninterrupted service.

8. Financial and Legal Disclaimer

FREEPNL IS NOT AN ACCOUNTING FIRM, CERTIFIED PUBLIC ACCOUNTANT (CPA), TAX ADVISOR, FINANCIAL ADVISOR, OR LICENSED PROFESSIONAL OF ANY KIND. THE SERVICE IS PROVIDED SOLELY AS A TECHNOLOGY TOOL TO ASSIST WITH FINANCIAL DATA ORGANIZATION AND IS NOT A SUBSTITUTE FOR PROFESSIONAL ACCOUNTING, TAX, LEGAL, OR FINANCIAL ADVICE.

8.1 No Professional Advice

The P&L statements, transaction categorizations, and any other outputs generated by FreePNL are provided for informational purposes only. They do not constitute and should not be relied upon as accounting advice, tax advice, financial advice, legal advice, or any other form of professional advice. You should always consult with a qualified accountant, CPA, tax professional, or financial advisor before making any business, tax, or financial decisions based on information generated by the Service.

8.2 AI-Generated Content

FreePNL uses artificial intelligence to categorize transactions and generate financial reports. AI-generated categorizations and outputs may contain errors, inaccuracies, or misclassifications. You are solely responsible for reviewing and verifying all AI-generated outputs before relying on them for any purpose. FreePNL does not guarantee the accuracy, completeness, or correctness of any AI-generated content.

8.3 Not Suitable for Tax Filing

P&L statements and other financial reports generated by FreePNL are not intended for, and should not be used for, direct tax filing with the IRS, state tax authorities, or any other government agency without independent review and approval by a qualified tax professional. FreePNL makes no representations regarding compliance with Generally Accepted Accounting Principles (GAAP), International Financial Reporting Standards (IFRS), or any other accounting standards.

8.4 User Responsibility

You are solely responsible for the accuracy and completeness of the data you upload to or sync through the Service. You acknowledge that the quality and accuracy of P&L statements and other outputs depend on the quality of the input data. FreePNL is not responsible for errors in outputs caused by inaccurate, incomplete, or improperly formatted input data.

8.5 No Guarantees of Financial Outcome

FreePNL makes no guarantees regarding any financial outcomes that may result from your use of the Service. Past financial data processed through the Service is not indicative of future performance. You use any financial insights generated by the Service at your own risk.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) AI-GENERATED TRANSACTION CATEGORIZATIONS WILL BE ACCURATE OR COMPLETE; (C) P&L STATEMENTS WILL BE SUITABLE FOR TAX FILING, AUDITING, OR ANY SPECIFIC FINANCIAL PURPOSE WITHOUT INDEPENDENT PROFESSIONAL REVIEW.

FreePNL is a tool to assist with financial data organization. It is not a substitute for professional accounting advice. You should consult a qualified accountant or financial advisor before making business decisions based on P&L statements generated by the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREEPNL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO FREEPNL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless FreePNL, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney’s fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any inaccurate or incomplete data you provide to the Service

12. Termination

You may terminate your account at any time by contacting support@freepnl.com or through your account settings.

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay subscription fees when due
  • We are required to do so by law
  • We discontinue the Service (with at least 30 days’ notice)

12.1 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be permanently deleted, except as required by law.

13. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against FreePNL.

14. General Provisions

14.1 Modifications

We may modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website and, for Premium subscribers, via email. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FreePNL regarding the Service and supersede all prior agreements.

14.4 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

14.5 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
